HKFRS
HKAS
HKFRS 1 · First-time Adoption of Hong Kong Financial Reporting Standards
Objective
Ensures an entity's first HKFRS financial statements (and interim reports for part of that period) contain high quality information that is transparent, comparable, and provides a suitable starting point for accounting under HKFRS - at a cost not exceeding the benefits.
Core Principle
Prepare an opening HKFRS statement of financial position at the DATE OF TRANSITION (the beginning of the earliest comparative period presented). Apply the SAME accounting policies - the versions of HKFRS effective at the END of the first HKFRS reporting period - RETROSPECTIVELY to all periods presented.
Key Steps
- Recognise all assets/liabilities that HKFRS requires.
- Derecognise items HKFRS does not permit as assets/liabilities.
- Reclassify items under the correct HKFRS classification.
- Remeasure all recognised items in accordance with HKFRS.
- All resulting adjustments are recognised directly in RETAINED EARNINGS (or another category of equity where appropriate) at the transition date - NOT in profit or loss.
Exemptions & Exceptions
- Optional exemptions (relief from full retrospective application, chosen by the entity): business combinations, deemed cost for PPE/investment property/intangibles (use fair value or a previous GAAP revaluation as deemed cost), cumulative translation differences (reset to zero), leases, share-based payment, borrowing costs, and others.
- Mandatory exceptions (retrospective application PROHIBITED): estimates (cannot use hindsight), derecognition of financial assets/liabilities, hedge accounting, non-controlling interests, classification and measurement of financial instruments, impairment of financial assets, government loans.
Common Pitfalls / Exam Tips
- The classic trap: using HINDSIGHT when revisiting estimates at the transition date - prohibited. Estimates at the transition date must be consistent with those made under previous GAAP (unless there was an error), even if later events showed them to be wrong.
- Transition adjustments go to retained earnings, NOT profit or loss - a very frequently tested point.
- Reconciliations of equity and total comprehensive income from previous GAAP to HKFRS are REQUIRED disclosures, along with an explanation of material adjustments.
HKFRS 2 · Share-based Payment
Objective
Specifies the financial reporting for transactions in which an entity receives goods or services in exchange for its own equity instruments, or for amounts based on the price of its equity instruments - the core principle being that ALL share-based payments must be RECOGNISED (expensed), not merely disclosed.
Three Types
- Equity-settled: entity receives goods/services and settles by issuing its own equity instruments (e.g. share options to employees). Measured at the FAIR VALUE AT GRANT DATE - NOT remeasured subsequently.
- Cash-settled: entity incurs a liability based on the price/value of its equity instruments (e.g. share appreciation rights, SARs). Measured at fair value of the LIABILITY, remeasured at EACH reporting date and at settlement, with changes through P&L.
- Choice of settlement: either the entity or counterparty has a choice of cash or equity settlement - accounted for based on which party holds the choice and whether a present obligation to settle in cash exists.
Measurement & Vesting Conditions
For employee transactions, measured by reference to the fair value of the EQUITY INSTRUMENTS GRANTED (as employee services' fair value is not reliably measurable). Expense recognised over the VESTING PERIOD. Treatment of conditions:
- Service conditions and non-market performance conditions (e.g. profit targets, remaining employed): NOT included in grant-date fair value; instead the NUMBER of instruments expected to vest is estimated and TRUED UP each period to actual.
- Market conditions (e.g. share price target, TSR) and non-vesting conditions: INCLUDED in the grant-date fair value; NO true-up - the expense stands even if the condition is never met (provided service conditions are satisfied).
Common Pitfalls / Exam Tips
- The single most tested distinction: market conditions are built into fair value with NO subsequent true-up, whereas non-market conditions are NOT in fair value but ARE trued up via the number of instruments expected to vest.
- Equity-settled awards are never remeasured for fair value after grant date, even if the options end up deeply out of the money.
- Cash-settled awards ARE remeasured every reporting date - a frequent source of calculation questions.
- A modification that increases fair value gives rise to an INCREMENTAL expense; a modification that reduces it is ignored (the original expense continues).
HKFRS 3 · Business Combinations
Objective
Improves the relevance, reliability and comparability of information about business combinations - what the acquirer recognises (assets acquired, liabilities assumed, any NCI), goodwill, and the effects of the combination.
Method
All business combinations accounted for using the Acquisition Method: (1) identify the acquirer; (2) determine the acquisition date; (3) recognise and measure identifiable assets acquired/liabilities assumed/NCI (generally at FAIR VALUE at acquisition date); (4) recognise and measure goodwill or a bargain purchase gain.
Consideration & Goodwill
Consideration transferred = FV of assets given, liabilities incurred, equity issued + contingent consideration at FV. Goodwill = Consideration transferred + FV of any NCI + FV of previously held equity interest (step acquisition) - Net identifiable assets acquired at FV. If negative -> bargain purchase, recognised immediately in P&L (after reassessing measurements).
NCI Measurement Choice
NCI at acquisition measured (choice made ON A TRANSACTION-BY-TRANSACTION basis): Fair value method ("full goodwill" - includes goodwill attributable to NCI) or Proportionate share of net identifiable assets ("partial goodwill" - no goodwill attributable to NCI).
Common Pitfalls / Exam Tips
- Acquisition-related costs (legal/due diligence/advisory fees): EXPENSED as incurred, NOT included in consideration/goodwill (a very frequently tested rule).
- Measurement period adjustments: provisional amounts can be adjusted retrospectively within 12 months of acquisition date if new information about facts existing AT acquisition date comes to light.
- Contingent consideration classified as a liability is remeasured through P&L each period (NOT adjusted against goodwill after the measurement period).
HKFRS 5 · Non-current Assets Held for Sale and Discontinued Operations
Objective
Specifies the accounting for assets held for sale, and the presentation and disclosure of discontinued operations - so users can evaluate the financial effects of disposals separately from continuing operations.
Held for Sale Classification
A non-current asset (or disposal group) is classified as held for sale if its carrying amount will be recovered principally through a SALE transaction rather than continuing use. Criteria:
- Asset must be AVAILABLE FOR IMMEDIATE SALE in its present condition; AND
- The sale must be HIGHLY PROBABLE: management committed to a plan, active programme to locate a buyer initiated, marketed at a price reasonable in relation to fair value, sale expected to complete within ONE YEAR from classification, and actions indicate the plan is unlikely to change.
Measurement
Measured at the LOWER of carrying amount and fair value less costs to sell. Critically, DEPRECIATION CEASES once classified as held for sale. Impairment loss recognised for any initial/subsequent write-down; a gain may be recognised for any subsequent increase in fair value less costs to sell, but only to the extent of cumulative impairment losses previously recognised.
Discontinued Operations
A component of an entity that has either been DISPOSED OF or is CLASSIFIED AS HELD FOR SALE, and: represents a separate major line of business or geographical area of operations; is part of a single coordinated plan to dispose of such; OR is a subsidiary acquired exclusively with a view to resale. Presented as a SINGLE AMOUNT in the statement of profit or loss (post-tax profit/loss of the discontinued operation + post-tax gain/loss on measurement/disposal), with comparatives RE-PRESENTED.
Common Pitfalls / Exam Tips
- Depreciation stops on classification as held for sale - a very common exam adjustment that candidates miss.
- Held for sale assets are presented SEPARATELY on the face of the SOFP (as current assets), and NOT offset against associated liabilities.
- Prior period comparatives in the P&L ARE re-presented for discontinued operations (but the SOFP is NOT restated for the held-for-sale reclassification).
- An asset to be ABANDONED (not sold) does NOT qualify as held for sale - though it may still be a discontinued operation when it ceases to be used.
HKFRS 6 · Exploration for and Evaluation of Mineral Resources
Objective
Specifies the financial reporting for the exploration for and evaluation of mineral resources, pending a more comprehensive review by the IASB of extractive activities - it provides a limited-scope, pragmatic exemption rather than a complete framework.
Scope
Exploration and evaluation (E&E) expenditures incurred AFTER the entity has obtained the legal rights to explore in a specific area, and BEFORE the technical feasibility and commercial viability of extracting a mineral resource are demonstrable. Expenditure BEFORE obtaining legal rights, and development expenditure AFTER viability is demonstrable, are OUTSIDE its scope.
Key Relief Provided
- An entity may CONTINUE to use its existing (pre-HKFRS) accounting policies for E&E assets - a temporary exemption from the normal HKAS 8 requirement to develop a policy using the Conceptual Framework hierarchy. This allows diverse industry practices (e.g. 'successful efforts' vs 'full cost' methods) to persist.
- E&E assets measured at COST on initial recognition; subsequently at cost or revaluation model (HKAS 16/38).
- E&E assets classified as tangible or intangible according to their nature, and applied consistently.
Impairment
E&E assets are assessed for impairment when facts/circumstances suggest the carrying amount may exceed recoverable amount. HKFRS 6 provides SPECIFIC indicators (rather than HKAS 36's general list): the right to explore has expired/will expire and won't be renewed; substantive further expenditure is not budgeted/planned; exploration has not led to discovery of commercially viable quantities and the entity has decided to discontinue; or sufficient data indicates the carrying amount is unlikely to be recovered in full. Importantly, E&E assets may be tested at a level HIGHER than a single CGU (a specified 'group of CGUs'), but never larger than an operating segment.
Common Pitfalls / Exam Tips
- The key exam point: HKFRS 6 is a temporary, narrow-scope exemption that grandfathers existing policies - it does NOT prescribe a single required treatment, which is unusual among HKFRS.
- Once technical feasibility and commercial viability ARE demonstrable, the asset ceases to be an E&E asset - it must be reclassified (and tested for impairment BEFORE reclassification).
- E&E impairment testing uses its own trigger list and a potentially larger testing unit than HKAS 36's standard CGU approach.
HKFRS 7 · Financial Instruments: Disclosures
Objective
Requires disclosures enabling users to evaluate (a) the SIGNIFICANCE of financial instruments for the entity's financial position and performance, and (b) the NATURE AND EXTENT OF RISKS arising from financial instruments, and how the entity manages those risks. Companion disclosure standard to HKFRS 9 (recognition/measurement) and HKAS 32 (presentation).
Significance Disclosures
- Carrying amounts of each HKFRS 9 category (amortised cost, FVOCI, FVTPL) on the SOFP or in the notes.
- Items of income, expense, gains and losses by category; interest income/expense; fee income; impairment losses.
- Special disclosures for financial liabilities designated at FVTPL (including the amount of change in fair value attributable to changes in OWN CREDIT RISK, presented in OCI).
- Accounting policies, hedge accounting disclosures (risk management strategy, amounts, effects on financial statements), and fair value disclosures by HKFRS 13 hierarchy level.
Risk Disclosures
For each type of risk arising from financial instruments - qualitative (exposures, objectives/policies/processes for managing risk) AND quantitative (summary data):
- Credit risk: maximum exposure, credit risk concentrations, ECL allowance reconciliation, credit quality analysis, collateral held.
- Liquidity risk: MATURITY ANALYSIS of financial liabilities (contractual undiscounted cash flows), and how liquidity risk is managed.
- Market risk (currency, interest rate, other price risk): SENSITIVITY ANALYSIS showing the effect on profit/loss and equity of reasonably possible changes in the relevant risk variable.
Common Pitfalls / Exam Tips
- The maturity analysis for liquidity risk uses CONTRACTUAL UNDISCOUNTED cash flows - not carrying amounts - a commonly missed detail.
- Own credit risk changes on liabilities designated at FVTPL go to OCI (not P&L) - one of the more distinctive HKFRS 9/7 interactions.
- HKFRS 7 disclosures are extensive but are DISCLOSURE-only - they never change recognition or measurement (that is HKFRS 9's job). Candidates sometimes confuse the roles of HKFRS 7 / HKFRS 9 / HKAS 32.
HKFRS 8 · Operating Segments
Objective
Requires disclosure of information about an entity's operating segments so users can evaluate the nature and financial effects of the business activities it engages in and the economic environments in which it operates.
Scope & the 'Management Approach'
Applies to entities whose debt or equity instruments are TRADED IN A PUBLIC MARKET (or that file/are in the process of filing FS with a regulator for the purpose of issuing instruments in a public market). Uses the MANAGEMENT APPROACH: segment information reported is that which is used INTERNALLY by the Chief Operating Decision Maker (CODM) for allocating resources and assessing performance - even if that basis differs from HKFRS measurement.
Identifying Reportable Segments
An operating segment is a component that: engages in business activities earning revenues/incurring expenses; whose operating results are regularly reviewed by the CODM; and for which discrete financial information is available. A segment is REPORTABLE if it meets any of the 10% quantitative thresholds: revenue (external + intersegment) ≥10% of combined revenue; OR absolute profit/loss ≥10% of the greater of combined profit of profitable segments and combined loss of loss-making segments; OR assets ≥10% of combined assets. Additionally, reportable segments' EXTERNAL revenue must total at least 75% of entity revenue - if not, add more segments until reached. Remaining segments are aggregated into 'all other segments'.
Aggregation & Disclosure
Two or more operating segments MAY be aggregated if they have similar economic characteristics AND are similar in ALL of: nature of products/services; nature of production processes; type/class of customer; distribution methods; and (if applicable) regulatory environment. Disclose: factors used to identify segments, types of products/services, segment profit/loss, assets and liabilities (if reported to CODM), and reconciliations of segment totals to entity totals. Entity-wide disclosures apply to ALL entities in scope (even single-segment ones): revenue by product/service, geographical information, and reliance on major customers (any customer ≥10% of revenue).
Common Pitfalls / Exam Tips
- The management approach means segment figures may NOT be HKFRS-compliant measures - reconciliation to the entity's HKFRS totals is therefore required.
- The 75% external revenue test is frequently forgotten after applying the 10% thresholds.
- Major customer disclosure requires the AMOUNT of revenue and the segment(s) reporting it, but NOT the customer's identity.
- Aggregation requires similarity across ALL the listed criteria plus similar economic characteristics - a commonly over-applied shortcut in exam answers.
HKFRS 9 · Financial Instruments
Objective
Establishes principles for the financial reporting of financial assets and liabilities - classification, measurement, impairment (Expected Credit Loss model), and hedge accounting.
Classification of Financial Assets
Based on (1) the entity's BUSINESS MODEL for managing the assets AND (2) the CONTRACTUAL CASH FLOW characteristics ("SPPI" test - Solely Payments of Principal and Interest):
- Amortised Cost: business model = hold to collect contractual cash flows, AND passes SPPI.
- FVOCI (debt): business model = hold to collect AND sell, AND passes SPPI. Interest/impairment/FX still through P&L; other fair value movement to OCI (recycled to P&L on disposal).
- FVTPL: default/residual category (e.g. equity investments not designated FVOCI, derivatives, instruments failing SPPI).
- Equity investments: FVTPL by default, OR an irrevocable election at initial recognition to present fair value changes in OCI (FVOCI - NOT recycled to P&L even on disposal, unlike debt FVOCI).
Impairment - Expected Credit Loss (ECL)
Forward-looking ECL model (replacing the old 'incurred loss' model) applies to assets at amortised cost and debt at FVOCI. 3-stage general approach: Stage 1 (12-month ECL, no significant increase in credit risk); Stage 2 (Lifetime ECL, significant increase in credit risk since initial recognition); Stage 3 (Lifetime ECL, credit-impaired). Trade receivables/contract assets (HKFRS 15) without a significant financing component: SIMPLIFIED approach - always Lifetime ECL.
Financial Liabilities & Hedge Accounting
Generally at amortised cost using the effective interest method, unless FVTPL (held for trading, derivatives, or designated FVTPL). Hedge accounting (optional) aligns accounting for a hedging instrument and hedged item to reflect risk management activities - three types: fair value hedge, cash flow hedge, net investment hedge.
一般按實際利率法以攤銷成本列賬,除非屬FVTPL(持作買賣、衍生工具或指定為FVTPL)。
Common Pitfalls / Exam Tips
- Distinguishing FVOCI for DEBT (recycled to P&L on disposal) vs the elective FVOCI for EQUITY (never recycled) - a very frequent exam trap.
- Reclassification of financial ASSETS is required only when the business model changes (rare, prospective); financial LIABILITIES are never reclassified.
- The simplified ECL approach for trade receivables uses a provision matrix based on historical loss rates adjusted for forward-looking factors.
- 區分債務的FVOCI(處置時重新分類至損益)與股權的選擇性FVOCI(永不重新分類)——這是非常常見的考試陷阱。
HKFRS 10 · Consolidated Financial Statements
Objective
Establishes principles for the presentation and preparation of consolidated FS when an entity controls one or more other entities - a single control model applies to all investees.
The Control Model
An investor controls an investee when it is exposed/has rights to VARIABLE RETURNS from involvement with the investee AND has the ability to affect those returns through POWER over the investee. Three elements, ALL required:
- Power: existing rights that give the current ability to direct the RELEVANT ACTIVITIES (not just majority voting rights - can arise from potential voting rights, contractual arrangements, or de facto control).
- Exposure to variable returns: returns that can vary as a result of the investee's performance (dividends, remuneration, other benefits).
- Linkage between power and returns: ability to use power to affect the amount of the investor's returns.
Consolidation Procedures
Combine like items of assets/liabilities/income/expenses line by line; eliminate the parent's investment against subsidiary's equity; eliminate intragroup balances/transactions/profits in full; recognise NCI in the subsidiary's net assets and profit/loss separately from the parent's owners.
Loss of Control
On loss of control: derecognise subsidiary's assets/liabilities/NCI; recognise any retained investment at FAIR VALUE (becomes its new cost basis); recognise gain/loss on disposal in P&L, reclassifying any related OCI amounts as appropriate.
Common Pitfalls / Exam Tips
- Control is NOT purely about %-ownership - an investor holding 40% but controlling the board (de facto control) can still have control; conversely 51% ownership WITHOUT power over relevant activities may not be control.
- Potential voting rights (e.g. convertible instruments, currently exercisable options) are considered in assessing power if substantive.
- Disposal of a partial interest while RETAINING control is an EQUITY transaction (no P&L gain/loss, adjust NCI, difference to equity attributable to owners).
HKFRS 11 · Joint Arrangements
Objective
Establishes principles for financial reporting by parties to a JOINT ARRANGEMENT - an arrangement of which two or more parties have JOINT CONTROL (contractually agreed sharing of control, existing only when decisions about relevant activities require the UNANIMOUS CONSENT of the sharing parties).
Two Types Only
- Joint Operation: the parties (joint operators) have RIGHTS TO THE ASSETS and OBLIGATIONS FOR THE LIABILITIES of the arrangement. Each operator recognises, in BOTH its separate and consolidated FS: its own assets, liabilities, revenue and expenses, plus its SHARE of jointly held assets/liabilities/revenue/expenses. No equity method.
- Joint Venture: the parties (joint venturers) have rights to the NET ASSETS of the arrangement. Accounted for using the EQUITY METHOD under HKAS 28. Proportionate consolidation is PROHIBITED (the key change when HKFRS 11 replaced HKAS 31).
Classification Assessment
Determined by the rights and obligations of the parties, considering (in order):
- Structure: is the arrangement structured through a SEPARATE VEHICLE? If NOT, it is always a joint operation.
- If through a separate vehicle, consider: the LEGAL FORM of the vehicle; the CONTRACTUAL TERMS; and OTHER FACTS AND CIRCUMSTANCES (e.g. if the arrangement's output is taken entirely by the parties, and it depends on the parties for settling liabilities, that indicates a joint OPERATION despite the separate vehicle).
Common Pitfalls / Exam Tips
- The most-tested point: a separate legal vehicle does NOT automatically make it a joint venture - 'other facts and circumstances' (especially the parties taking substantially all output and funding liabilities) can override the legal form and make it a joint operation.
- Proportionate consolidation was eliminated - joint ventures MUST use the equity method.
- Joint control requires UNANIMOUS consent of the parties sharing control - if one party can direct relevant activities alone, it has control (HKFRS 10), not joint control.
HKFRS 12 · Disclosure of Interests in Other Entities
Objective
Requires disclosure enabling users to evaluate (a) the NATURE OF, and RISKS ASSOCIATED WITH, an entity's interests in other entities, and (b) the EFFECTS of those interests on its financial position, performance and cash flows. It consolidates in one place the disclosure requirements for subsidiaries, joint arrangements, associates and unconsolidated structured entities.
Scope
Applies to interests in: subsidiaries (HKFRS 10), joint arrangements (HKFRS 11 - joint operations and joint ventures), associates (HKAS 28), and unconsolidated structured entities (entities designed so that voting/similar rights are not the dominant factor in deciding control - e.g. securitisation vehicles, some funds).
Key Disclosures
- Significant judgements and assumptions made in determining control, joint control, or significant influence - and in determining the type of joint arrangement. (E.g. why the entity concluded it controls an investee despite holding <50% of voting rights, or does NOT control despite holding >50%.)
- Subsidiaries: composition of the group; NCI details (proportion, accumulated NCI, profit allocated, summarised financial information for subsidiaries with material NCI); nature and extent of significant RESTRICTIONS on accessing/using group assets; risks associated with consolidated structured entities; effects of changes in ownership (with and without loss of control).
- Joint arrangements and associates: nature/extent/financial effects, summarised financial information for each material one, risks (commitments, contingent liabilities).
- Unconsolidated structured entities: nature/extent of interests, nature of risks, maximum exposure to loss, and any support provided without contractual obligation.
Common Pitfalls / Exam Tips
- HKFRS 12 is DISCLOSURE-only - it does not affect whether or how an entity consolidates (that is HKFRS 10/11 and HKAS 28). Candidates often blur this boundary.
- The 'significant judgements' disclosure is heavily examined in scenarios involving de facto control or potential voting rights - the entity must explain its reasoning, not just state the conclusion.
- Summarised financial information is required for each MATERIAL subsidiary with NCI, joint venture and associate - not just in aggregate.
- Maximum exposure to loss for unconsolidated structured entities must be disclosed even where it is not recognised on the SOFP.
HKFRS 13 · Fair Value Measurement
Objective
Defines fair value, sets out a single framework for measuring fair value, and requires disclosures about fair value measurements - it does NOT dictate WHEN fair value is required (that's decided by other standards); it only prescribes HOW to measure it.
Definition
Fair value = the price that would be received to SELL an asset or paid to TRANSFER a liability in an ORDERLY transaction between MARKET PARTICIPANTS at the MEASUREMENT DATE (an EXIT price, market-based not entity-specific).
Key Concepts
- Principal market (or, if none, the most advantageous market) for the asset/liability.
- Highest and best use for non-financial assets (physically possible, legally permissible, financially feasible) - even if the entity does not intend to use the asset that way.
- Valuation techniques: Market approach, Cost approach, Income approach - maximise relevant observable inputs, minimise unobservable inputs.
Fair Value Hierarchy
- Level 1: quoted prices in ACTIVE markets for IDENTICAL assets/liabilities (highest priority, no adjustment).
- Level 2: observable inputs other than Level 1 quoted prices (e.g. quoted prices for similar assets, or inputs derived from observable market data).
- Level 3: unobservable inputs (entity's own assumptions, used only when observable inputs are unavailable - requires most extensive disclosure).
Common Pitfalls / Exam Tips
- Fair value is an EXIT price (what you'd sell for), not an entry price (what you paid) - transaction costs are NOT included in fair value (though they may affect where the asset is initially recognised).
- Level classification is based on the LOWEST level input that is significant to the ENTIRE measurement, not the majority of inputs.
- Highest and best use applies only to non-financial assets, not liabilities or financial instruments.
HKFRS 14 · Regulatory Deferral Accounts
Objective
A narrow-scope INTERIM standard permitting eligible first-time adopters of HKFRS to CONTINUE recognising regulatory deferral account balances that they recognised under their previous GAAP - pending the IASB's comprehensive project on rate-regulated activities.
Scope - Very Restricted
Available ONLY to an entity that: (a) is a FIRST-TIME ADOPTER of HKFRS (i.e. applying HKFRS 1); AND (b) conducts RATE-REGULATED ACTIVITIES (where a regulator/rate-setting body establishes the price the entity can charge customers, binding on both parties); AND (c) recognised regulatory deferral account balances under its PREVIOUS GAAP. An entity ALREADY reporting under HKFRS CANNOT start applying HKFRS 14.
Key Requirements
- The entity continues to apply its PREVIOUS GAAP accounting policies for regulatory deferral account balances (grandfathered), with limited changes.
- Separate presentation is mandatory: regulatory deferral account DEBIT and CREDIT balances presented as separate line items, SEPARATELY from assets/liabilities presented under other HKFRS (i.e. below a subtotal that excludes them). Similarly, the net movement is presented as a separate line item in profit or loss / OCI.
- This separate presentation lets users readily isolate the effect of the regulatory balances and compare with entities that do not recognise them.
- Extensive disclosure required: nature of and risks associated with the rate regulation, and the effects on the FS.
Common Pitfalls / Exam Tips
- The defining exam point: HKFRS 14 is available ONLY on first-time adoption. An existing HKFRS reporter that never recognised such balances cannot elect to start.
- It is explicitly an INTERIM/transitional measure - it preserves diversity rather than eliminating it, which is unusual for HKFRS.
- Regulatory balances must be presented separately (and not commingled with normal assets/liabilities) - failing to isolate them is the common presentation error.
- Note: the IASB has since developed a comprehensive successor standard on regulatory assets/liabilities; HKFRS 14 remains the transitional measure until such a standard is locally effective.
HKFRS 15 · Revenue from Contracts with Customers
Objective
Establishes a single, comprehensive revenue recognition model for ALL contracts with customers (superseding HKAS 11/18), based on the core principle: recognise revenue to depict the transfer of promised goods/services in an amount reflecting the consideration expected in exchange.
The 5-Step Model
- Identify the contract(s) with a customer (must have commercial substance, approval, identifiable rights/payment terms, probable collection).
- Identify the performance obligations - promises to transfer distinct goods/services (distinct = capable of being distinct AND distinct within the context of the contract).
- Determine the transaction price - consideration expected, including variable consideration (constrained by the 'highly probable no significant reversal' test), financing components, non-cash consideration, consideration payable to customer.
- Allocate the transaction price to performance obligations based on RELATIVE STANDALONE SELLING PRICES.
- Recognise revenue when (or as) each performance obligation is SATISFIED - i.e. when control transfers to the customer.
Point in Time vs Over Time
Revenue recognised OVER TIME if ANY ONE of: (a) customer simultaneously receives/consumes benefits as the entity performs; (b) entity's performance creates/enhances an asset the customer controls as created; (c) asset has no alternative use to the entity AND entity has an enforceable right to payment for performance completed to date. Otherwise, recognised at a POINT IN TIME (when control transfers).
Contract Costs & Other Items
Incremental costs of obtaining a contract (e.g. sales commissions) capitalised if expected to be recovered (practical expedient: expense if amortisation period ≤1 year). Contract assets (right to consideration not yet unconditional) vs Contract liabilities (deferred revenue for consideration received before performance). Principal vs agent assessment (control of the good/service before transfer = principal, recognise gross; otherwise agent, recognise net commission).
Common Pitfalls / Exam Tips
- Determining whether a good/service is 'distinct' within the contract - a very common judgement-based exam scenario (e.g. installation services that significantly customise/integrate a product are often NOT distinct from the product itself).
- Variable consideration constraint - a classic trap is over-recognising revenue for volume rebates/returns before applying the constraint.
- Warranties: an ASSURANCE-type warranty (product meets specifications) is accounted for under HKAS 37 (not a separate performance obligation); a SERVICE-type warranty (additional service beyond assurance) IS a separate performance obligation under HKFRS 15.
- Licences: right to access (over time) vs right to use (point in time) - depends on whether the entity's ongoing activities significantly affect the IP.
HKFRS 16 · Leases
租賃
Objective
Establishes principles for recognition, measurement, presentation and disclosure of leases - introducing a SINGLE lessee accounting model (bringing almost all leases on-balance-sheet), replacing the old operating/finance lease split for lessees.
Definition of a Lease
A contract (or part of a contract) conveys the right to CONTROL the use of an IDENTIFIED asset for a period of time in exchange for consideration - control requires: (a) the right to obtain substantially all economic benefits from use, AND (b) the right to direct the use of the asset.
Lessee Accounting (Single Model)
- Recognise a Right-of-Use (ROU) asset and a Lease Liability at commencement, for (almost) all leases.
- Lease liability = present value of unpaid lease payments, discounted at the rate implicit in the lease (or the lessee's incremental borrowing rate if not readily determinable).
- ROU asset = initial lease liability + prepaid lease payments + initial direct costs + estimated restoration costs - lease incentives received. Subsequently depreciated (generally straight-line) and tested for impairment (HKAS 36).
- Lease liability subsequently increased by interest (finance cost, effective interest method), reduced by payments made, remeasured for lease modifications/reassessments.
- Exemptions (optional, by class/on a lease-by-lease basis): short-term leases (≤12 months, no purchase option) and low-value asset leases - these can be expensed on a straight-line basis instead.
Lessor Accounting
LARGELY UNCHANGED from the old model - lessor still classifies each lease as FINANCE (substantially all risks/rewards transferred - recognise a net investment in the lease/receivable) or OPERATING (asset stays on lessor's SOFP, depreciated, lease income recognised typically straight-line).
Common Pitfalls / Exam Tips
- P&L impact under the new lessee model: depreciation (straight-line, ROU asset) + interest expense (front-loaded, reducing balance on liability) - typically HIGHER total expense in early years and lower in later years vs the old straight-line operating lease expense (a very frequently tested calculation/discussion point).
- Variable lease payments not based on an index/rate (e.g. based on sales/usage) are EXCLUDED from the lease liability - expensed as incurred.
- Sale-and-leaseback: assessed under HKFRS 15 principles to determine if the 'sale' is a genuine sale; if so, only the retained rights' proportion of any gain is deferred.
HKFRS 17 · Insurance Contracts
Objective
Establishes principles for recognition, measurement, presentation and disclosure of insurance contracts, ensuring an entity provides relevant information that faithfully represents those contracts (replacing HKFRS 4's interim, largely 'grandfathered' approach).
Scope & Measurement Models
Applies to insurance contracts issued, reinsurance contracts held, and investment contracts with discretionary participation features issued. THREE measurement approaches:
- General Model (GMM/BBA): default approach - fulfilment cash flows (probability-weighted future cash flows + discounting + risk adjustment for non-financial risk) + Contractual Service Margin (CSM, representing unearned profit, released to P&L as service is provided).
- Premium Allocation Approach (PAA): a simplified approach permitted for short-duration contracts (coverage period ≤1 year, or where it produces a similar result to GMM) - similar in spirit to an unearned premium approach.
- Variable Fee Approach (VFA): for contracts with direct participation features (the entity's obligation is to pay the policyholder an amount equal to the fair value of underlying items, plus a fee) - CSM adjusted for the entity's share of changes in the fair value of underlying items.
Key Concepts
- Contractual Service Margin (CSM): represents unearned profit, cannot be negative (a net negative at initial recognition is a LOSS recognised immediately - 'onerous contract').
- Contracts grouped into portfolios, then into annual cohorts, then by profitability (onerous / no significant possibility of becoming onerous / remaining) - no offsetting profitable against onerous contracts.
- Insurance revenue recognised as coverage is provided (reflecting the pattern of service), NOT as premiums are received (unlike the old premium-based revenue recognition under HKFRS 4).
Common Pitfalls / Exam Tips
- A very common conceptual trap: HKFRS 17 revenue no longer equals premiums received/receivable - it reflects services provided over the coverage period, a fundamental shift from HKFRS 4.
- CSM can never be negative - any day-one loss on an onerous group of contracts hits P&L immediately, not deferred through CSM.
- PAA is a simplification, not a different conceptual model - it is only permitted where it approximates the GMM result or the coverage period is short.
HKFRS 18 · Presentation and Disclosure in Financial Statements
Objective
Sets out requirements for the presentation and disclosure of information in general purpose financial statements, to help ensure relevant information that faithfully represents the entity. HKFRS 18 REPLACES HKAS 1 and is the biggest change to the face of the financial statements in decades - effective for annual periods beginning on or after 1 January 2027 (earlier application permitted).
The Three Big Changes
- Defined structure for the statement of profit or loss: income and expenses must be classified into FIVE CATEGORIES - Operating, Investing, Financing, Income taxes, and Discontinued operations - with two NEW MANDATORY SUBTOTALS: 'Operating profit' and 'Profit before financing and income taxes'. This directly addresses the historic lack of a defined 'operating profit' under HKAS 1.
- Management-defined Performance Measures (MPMs): subtotals of income and expenses used in PUBLIC COMMUNICATIONS outside the FS to communicate management's view of performance (e.g. 'adjusted operating profit') must now be disclosed in a SINGLE NOTE - including a reconciliation to the most directly comparable HKFRS subtotal, and an explanation of how it is calculated and why it provides useful information.
- Enhanced aggregation and disaggregation principles: guidance on grouping items based on shared characteristics, a requirement to label items meaningfully (not 'other'-heavy), and to disaggregate material items - improving comparability and reducing unhelpful lumping.
What Carries Over & Cash Flow Changes
Many HKAS 1 requirements are carried forward largely unchanged (fair presentation, going concern, accrual basis, materiality, comparatives, offsetting). Consequential amendments to HKAS 7 include: the starting point for the indirect method is now OPERATING PROFIT (rather than a choice of starting point), and the classification options for interest and dividends paid/received are REMOVED for most entities (reducing diversity).
Common Pitfalls / Exam Tips
- The five categories are for the STATEMENT OF PROFIT OR LOSS classification - the 'investing' and 'financing' categories in HKFRS 18 are NOT identical in scope to the same-named sections of the HKAS 7 cash flow statement. Do not assume they map one-to-one.
- MPM disclosure applies to measures used in public communications OUTSIDE the financial statements - a genuinely new discipline for many entities, effectively bringing 'alternative performance measures' into the audited notes.
- Entities with specified main business activities (e.g. investing in assets, providing financing to customers - banks, insurers, investment entities) have DIFFERENT classification requirements for some items in the operating category.
- HKFRS 18 changes presentation/disclosure - it does NOT change recognition or measurement. Profit for the period is unchanged; how you get there on the face of the P&L changes substantially.
HKFRS 19 · Subsidiaries without Public Accountability: Disclosures
Objective
Permits ELIGIBLE SUBSIDIARIES to apply REDUCED DISCLOSURE requirements while still applying the recognition, measurement and presentation requirements of other HKFRS Accounting Standards in full - substantially reducing the cost of preparing a subsidiary's own financial statements. Effective for annual periods beginning on or after 1 January 2027 (earlier application permitted).
Eligibility - Two Tests
An entity may elect to apply HKFRS 19 if, at the END of the reporting period, BOTH:
- It is a SUBSIDIARY (as defined in HKFRS 10) - it does NOT have public accountability; AND
- Its ULTIMATE OR ANY INTERMEDIATE PARENT produces CONSOLIDATED financial statements available for public use that comply with HKFRS Accounting Standards.
How It Works
- It is an ELECTION, not a requirement - and it is a disclosure-only standard.
- Recognition, measurement and presentation continue to follow the FULL suite of other HKFRS Accounting Standards - HKFRS 19 changes NOTHING about the numbers, only the volume of note disclosure.
- The reduced disclosures are set out in HKFRS 19 itself; they replace the disclosure requirements of other HKFRS Accounting Standards (with limited exceptions, e.g. HKFRS 17 insurance and some specified requirements still apply in full).
- An entity applying HKFRS 19 must disclose THAT FACT and that it has applied the reduced-disclosure framework.
Common Pitfalls / Exam Tips
- The most common misunderstanding: HKFRS 19 does NOT reduce accounting complexity - a subsidiary still applies HKFRS 9 ECL, HKFRS 16 leases, HKFRS 15 five-step model etc. in FULL. Only the NOTES shrink.
- Both eligibility tests must be met at the END of the reporting period - being a subsidiary is not enough if no parent publishes HKFRS-compliant consolidated FS available for public use.
- Do not confuse HKFRS 19 with HKFRS for Private Entities (a separate, self-contained standard that DOES simplify recognition and measurement) - a frequently examined distinction.
- Having public accountability disqualifies an entity regardless of its subsidiary status - e.g. a listed subsidiary, or a bank subsidiary holding assets in a fiduciary capacity.
HKAS 1 · Presentation of Financial Statements
Objective
Sets overall requirements for the presentation of general purpose financial statements, guidelines for their structure, and minimum content requirements, to ensure comparability both across periods and across entities.
Scope
Applies to all general purpose financial statements prepared under HKFRS Accounting Standards. Does not prescribe the format of condensed interim statements (see HKAS 34).
Key Requirements
- A complete set of FS: Statement of Financial Position, Statement of P&L and OCI, Statement of Changes in Equity, Statement of Cash Flows, Notes.
- Fair presentation & compliance with HKFRS (with rare 'true and fair override').
- Going concern assessment by management is mandatory.
- Accrual basis of accounting (except cash flow information).
- Materiality & aggregation; offsetting generally prohibited.
- At least annual reporting; comparative info for prior period.
- Classification of liabilities as current/non-current based on rights existing at year end (2020/2022 amendments clarified this).
- 公允呈列及遵循HKFRS(罕見情況下可有「真實與公平凌駕」)。
Presentation & Disclosure
Current/non-current split on the SOFP (unless a liquidity presentation is more relevant). Disclosure of judgements and key sources of estimation uncertainty. Statement of compliance with HKFRS.
Common Pitfalls / Exam Tips
- Classifying a liability as non-current when the entity does NOT have an unconditional right to defer settlement for at least 12 months at year end - a very common trap after the 2022 amendment.
- Forgetting the third SOFP column required when a retrospective restatement/reclassification has a material effect on the opening balance.
- Confusing 'material' with 'large in amount' - materiality is entity- and context-specific.
HKAS 2 · Inventories
存貨
Objective
Prescribes the accounting treatment for inventories: how much cost to recognise as an asset and carry forward until related revenues are recognised, and any write-down to net realisable value (NRV).
Scope
All inventories except construction contracts (HKFRS 15/HKAS 11-derived WIP), financial instruments, and biological assets related to agricultural activity (HKAS 41), and inventories of producers of agricultural/forest products and minerals measured at NRV.
Measurement
Lower of cost and NRV. Cost = purchase cost + conversion cost + other costs to bring inventory to present location/condition. Cost formulas: FIFO or Weighted Average (LIFO is NOT permitted under HKFRS). NRV = estimated selling price less estimated costs of completion and costs to sell.
Recognition
Cost of inventories sold is recognised as an expense (COGS) in the period the related revenue is recognised. Write-downs to NRV are recognised as an expense in the period the write-down occurs; reversals are permitted if circumstances change (reversal limited to the original write-down amount).
Common Pitfalls / Exam Tips
- Forgetting that NRV write-downs CAN be reversed (unlike PPE impairment reversal restrictions under HKAS 36 for goodwill).
- Including selling costs / abnormal wastage / storage costs (unless part of production process) in inventory cost - these should be EXPENSED.
- Using LIFO - not allowed under HKFRS/IFRS (though allowed under US GAAP).
HKAS 7 · Statement of Cash Flows
Objective
Requires information about historical changes in cash and cash equivalents, classified into operating, investing and financing activities.
Scope
All entities preparing financial statements under HKFRS.
Key Requirements
- Cash equivalents = short-term, highly liquid investments, readily convertible to known amounts of cash, subject to insignificant risk of change in value (generally maturity ≤3 months from acquisition).
- Operating activities: direct method (encouraged) or indirect method (starts from profit before tax, adjusts for non-cash items and working capital changes).
- Investing activities: acquisition/disposal of long-term assets and investments.
- Financing activities: changes in equity and borrowings (share issues, dividends paid, loan drawdowns/repayments).
- Interest and dividends: consistently classified, disclosed separately (several acceptable classification choices exist for financial institutions vs others).
Presentation & Disclosure
Reconciliation of cash/cash equivalents at the start and end of period. Disclosure of significant non-cash transactions (e.g. asset acquired via finance lease, share-for-share exchange) separately - NOT included in the cash flow statement itself. Changes in liabilities from financing activities reconciliation (2016 amendment).
Common Pitfalls / Exam Tips
- Classifying interest paid/received or dividends received inconsistently period to period.
- Including non-cash transactions within the SCF body instead of disclosing them in the notes.
- Bank overdrafts - included in cash equivalents only if they are repayable on demand and form an integral part of cash management.
HKAS 8 · Accounting Policies, Changes in Accounting Estimates and Errors
Objective
Prescribes criteria for selecting and changing accounting policies, the accounting treatment and disclosure of changes in policies, changes in estimates, and corrections of prior period errors - to enhance relevance, reliability and comparability.
Scope
All entities preparing HKFRS financial statements.
Key Requirements
- Where no HKFRS specifically applies, management uses judgement (referencing HKFRS dealing with similar issues, the Conceptual Framework, then may consider other GAAP/industry practice not conflicting with HKFRS).
- Accounting policies applied consistently; changed only if required by a standard or if it results in more relevant/reliable information.
- Voluntary policy changes: applied RETROSPECTIVELY (restate comparatives + opening retained earnings, unless impracticable).
- Changes in accounting ESTIMATES (e.g. useful life, allowance for doubtful debts): applied PROSPECTIVELY, through profit or loss in current/future periods.
- Prior period errors: corrected RETROSPECTIVELY, as if the error had never occurred (restate comparatives, third SOFP column if material).
Presentation & Disclosure
Nature and amount of change/error, reasons, and impact on each line item and EPS. Distinguish clearly whether an item is a change in estimate (prospective) vs a policy change/error (retrospective) - a very common exam distinction.
Common Pitfalls / Exam Tips
- Misclassifying a change from cost model to revaluation model (this is a policy change - but treated PROSPECTIVELY per HKAS 16/38, a specific override).
- Treating a change in depreciation method as a policy change - it is actually a change in ESTIMATE (prospective).
- Forgetting the opening balance restatement + third SOFP column for material retrospective adjustments.
HKAS 10 · Events after the Reporting Period
Objective
Prescribes when to adjust financial statements for events after the reporting period, and the disclosures for the date FS are authorised for issue and events after the reporting period.
Scope
All entities preparing HKFRS financial statements.
Key Requirements
- Adjusting events: provide evidence of conditions that existed AT the reporting date (e.g. court case confirming a pre-existing obligation, bankruptcy of a customer confirming a receivable was impaired at year end, discovery of fraud/errors). FS figures ARE adjusted.
- Non-adjusting events: indicative of conditions arising AFTER the reporting date (e.g. major business combination, decline in market value of investments, announcing a plan to discontinue an operation). FS figures are NOT adjusted, but disclosed if material.
- Dividends declared after the reporting date but before authorisation: NOT recognised as a liability at year end (disclosed only).
- Going concern: if management determines after the reporting date it intends to liquidate or cease trading, FS must NOT be prepared on a going concern basis (this is treated as an adjusting-type override, not merely disclosure).
Presentation & Disclosure
Date FS authorised for issue and who gave that authorisation. Nature and estimated financial effect of each material non-adjusting event (or a statement that estimate cannot be made).
Common Pitfalls / Exam Tips
- Classic exam trap: a customer going bankrupt shortly after year-end due to a SUDDEN event unrelated to year-end conditions (e.g. a fire) is typically NON-adjusting; bankruptcy confirming a LONG-STANDING pre-existing credit weakness is ADJUSTING - the key test is whether the condition existed at year end.
- Confusing 'declared before year end but paid after' (a liability at year end) with 'declared after year end' (not a liability).
HKAS 11 · Construction Contracts (superseded by HKFRS 15)
Status
SUPERSEDED by HKFRS 15 Revenue from Contracts with Customers (effective from 1 January 2018). Retained here for background, comparison and legacy-syllabus study. Construction contracts are now accounted for under HKFRS 15's single five-step model like any other customer contract.
What HKAS 11 Required
- Applied to contracts specifically negotiated for the construction of an asset or combination of assets (fixed price or cost plus contracts).
- Where the outcome could be ESTIMATED RELIABLY: revenue and costs recognised by reference to the STAGE OF COMPLETION (the 'percentage of completion' method) - measured by cost-to-cost proportion, surveys of work performed, or physical completion.
- Where the outcome could NOT be estimated reliably: revenue recognised only to the extent of contract costs incurred that were probable of recovery, and costs expensed as incurred (a 'zero profit' approach).
- An EXPECTED LOSS on a contract was recognised IMMEDIATELY as an expense, in full, regardless of stage of completion.
Key Differences under HKFRS 15
- HKFRS 15 focuses on TRANSFER OF CONTROL, not risks and rewards. Over-time recognition requires meeting one of three specific criteria (see HKFRS 15) - notably, an asset with no alternative use plus an enforceable right to payment for work completed to date.
- Some contracts previously accounted for over time under HKAS 11 may now be point-in-time under HKFRS 15 (e.g. certain property developments where the enforceable-right-to-payment test fails) - one of the most significant real-world impacts in Hong Kong property and construction.
- Terminology changed: 'amounts due from/to customers' became CONTRACT ASSETS and CONTRACT LIABILITIES.
- The immediate recognition of expected losses continues in substance, now via HKAS 37's onerous contract requirements.
Common Pitfalls / Exam Tips
- Do not apply HKAS 11 to current-period financial statements - it has been superseded. Using 'percentage of completion' language without reference to HKFRS 15's over-time criteria signals an outdated answer.
- The classic exam contrast: under HKFRS 15, a developer building standard residential units for sale may recognise revenue only at COMPLETION if there is no enforceable right to payment for work to date - a material change from HKAS 11 practice.
- Expected losses are still recognised immediately, but the authority is now HKAS 37 (onerous contracts), not HKAS 11.
HKAS 12 · Income Taxes
Objective
Prescribes the accounting treatment for income taxes - current tax and, critically, DEFERRED tax arising from temporary differences between the carrying amount of assets/liabilities and their tax base.
Scope
All income taxes, domestic and foreign, including withholding taxes.
Key Concepts
- Tax base of an asset = amount deductible for tax purposes in future; of a liability = carrying amount less amounts deductible in future.
- Temporary difference = difference between carrying amount and tax base. Taxable temporary differences give rise to Deferred Tax LIABILITIES; deductible temporary differences give rise to Deferred Tax ASSETS (subject to recoverability).
- Deferred tax ASSETS recognised only to the extent it is PROBABLE that taxable profit will be available to utilise them.
- Measured at tax rates expected to apply when the asset is realised/liability settled, based on rates (and laws) enacted or substantively enacted by year end.
- Not discounted.
- Key exemptions: initial recognition of goodwill (no DTL); initial recognition of an asset/liability in a transaction that is not a business combination and affects neither accounting nor taxable profit (narrowed by 2021 amendment for leases/decommissioning - now DT IS recognised on both sides).
Presentation & Disclosure
Current and deferred tax generally recognised in P&L, EXCEPT to the extent it relates to an item recognised in OCI or directly in equity (then tax follows the item). Deferred tax assets/liabilities offset only if legally enforceable right and same tax authority. Reconciliation of tax expense to accounting profit x tax rate; unrecognised deductible temp differences/tax losses.
Common Pitfalls / Exam Tips
- Revaluation surplus on PPE (HKAS 16) creates a taxable temporary difference - DTL is recognised through OCI, not P&L.
- Forgetting that unused tax losses carried forward are a deferred tax ASSET, recognised only when probable future taxable profits will be available.
- Post-2021 amendment: leases and decommissioning liabilities NOW require gross recognition of DTA and DTL at initial recognition (previously exempt).
HKAS 16 · Property, Plant and Equipment
Objective
Prescribes the accounting treatment for PPE - recognition of carrying amounts, depreciation, and impairment losses to be recognised - so users can discern information about an entity's investment in PPE and changes in it.
Scope
Tangible items held for use in production/supply of goods or services, for rental, or for administrative purposes, expected to be used during more than one period. Excludes assets held for sale (HKFRS 5), biological assets (HKAS 41), and mineral rights/reserves.
Recognition & Initial Measurement
Recognised when probable future economic benefits will flow and cost can be measured reliably. Initial cost = purchase price + directly attributable costs to bring the asset to location/condition necessary for operation (installation, professional fees) + initial estimate of dismantling/restoration costs. Subsequent costs capitalised only if recognition criteria met (day-to-day repairs expensed).
Subsequent Measurement
Entity chooses, PER CLASS of asset: Cost model (cost less accumulated depreciation and impairment) or Revaluation model (fair value at revaluation date less subsequent depreciation/impairment - requires sufficient regularity to ensure carrying amount does not differ materially from fair value). Revaluation increases to OCI/revaluation surplus (unless reversing a prior decrease through P&L); decreases to P&L (unless reversing a prior increase in OCI).
Depreciation
Depreciable amount (cost less residual value) allocated systematically over useful life. Each significant part depreciated separately (component approach, e.g. aircraft engine vs airframe). Method reviewed at least each year-end (straight-line, reducing balance, units of production).
Common Pitfalls / Exam Tips
- Land is generally NOT depreciated (indefinite life) - separate from buildings even if purchased together.
- On revaluation, depreciation is based on the REVALUED amount going forward, not historical cost.
- An 'excess depreciation' transfer from revaluation surplus to retained earnings is PERMITTED but not required (a common exam adjustment).
- Component approach: a common exam scenario is replacing a major component - derecognise the old part's carrying amount and capitalise the new part.
HKAS 17 · Leases (superseded by HKFRS 16)
Status
SUPERSEDED by HKFRS 16 Leases (effective from 1 January 2019). Retained here for background, comparison and legacy-syllabus study.
What HKAS 17 Required - The Dual Model
Both LESSEES and LESSORS classified every lease as either:
- FINANCE LEASE: transfers substantially all the RISKS AND REWARDS incidental to ownership. Lessee recognised an asset and a liability at the lower of fair value and present value of minimum lease payments; depreciation + finance charge in P&L.
- OPERATING LEASE: all other leases. Lessee recognised lease payments as an EXPENSE ON A STRAIGHT-LINE BASIS over the lease term, with NO asset and NO liability on the balance sheet - the famous 'off-balance-sheet financing' criticism.
Why It Was Replaced
The operating/finance distinction allowed economically similar transactions to be reported very differently, and kept large lease obligations off the balance sheet - materially understating leverage for retailers, airlines and others. Estimates at the time suggested trillions of dollars of off-balance-sheet lease commitments globally. HKFRS 16 abolished the distinction FOR LESSEES, requiring a right-of-use asset and lease liability for (almost) all leases.
Key Differences under HKFRS 16
- Lessees: single on-balance-sheet model; only optional exemptions for SHORT-TERM (≤12 months) and LOW-VALUE asset leases.
- P&L geography changed: a single straight-line 'operating lease expense' became DEPRECIATION (in operating costs) plus INTEREST (in finance costs) - increasing EBITDA and front-loading total expense.
- Lessors: HKAS 17's dual model was essentially CARRIED FORWARD into HKFRS 16 - lessor accounting remains substantially unchanged.
Common Pitfalls / Exam Tips
- The most-tested point: lessor accounting still uses the finance/operating distinction - HKFRS 16 only abolished it for LESSEES. Candidates often incorrectly state the classification is gone entirely.
- Expect questions on the EBITDA/gearing impact of transition - lease liabilities increase reported debt and EBITDA rises because rent is no longer an operating expense.
- Do not use HKAS 17 operating lease treatment for a current-period lessee question - it signals an outdated answer.
HKAS 18 · Revenue (superseded by HKFRS 15)
Status
SUPERSEDED by HKFRS 15 Revenue from Contracts with Customers (effective from 1 January 2018), together with HKAS 11 Construction Contracts and several related interpretations. Retained here for background and comparison.
What HKAS 18 Required
Revenue recognised when it was probable that economic benefits would flow to the entity and the amount could be measured reliably, with SEPARATE criteria by transaction type:
- Sale of goods: significant RISKS AND REWARDS of ownership transferred; no continuing managerial involvement/effective control; revenue and costs measurable reliably; probable inflow of benefits.
- Rendering of services: recognised by reference to the STAGE OF COMPLETION when the outcome could be estimated reliably.
- Interest, royalties and dividends: interest on the effective interest basis; royalties on an accruals basis per the agreement; dividends when the shareholder's right to receive payment is established.
Key Differences under HKFRS 15
- Control, not risks and rewards: the fundamental conceptual shift. HKFRS 15 asks when the customer obtains CONTROL of the good/service.
- One model for all contracts: the transaction-type-specific criteria were replaced by a single FIVE-STEP MODEL applied consistently.
- Much more guidance on areas HKAS 18 barely addressed: multiple-element arrangements (allocation by standalone selling price), variable consideration and its constraint, significant financing components, principal vs agent, contract costs, licences, and warranties.
- Far more extensive DISCLOSURE, including disaggregation of revenue and information about remaining performance obligations.
Common Pitfalls / Exam Tips
- Never answer a current-period revenue question using 'risks and rewards' - that is HKAS 18 language. HKFRS 15 uses transfer of CONTROL.
- The classic contrast: under HKAS 18 a bundled sale (goods + installation + support) often had little guidance on splitting consideration; HKFRS 15 mandates identifying separate performance obligations and allocating by relative standalone selling price.
- Dividend recognition (when the right to receive is established) survives in substance under HKFRS 9, not HKFRS 15 - dividends are not revenue from contracts with customers.
HKAS 19 · Employee Benefits
Objective
Prescribes the accounting and disclosure for employee benefits, requiring an entity to recognise a LIABILITY when an employee has provided service in exchange for benefits to be paid in the future, and an EXPENSE when the entity consumes the economic benefit arising from that service.
Four Categories
- Short-term benefits (due wholly within 12 months): wages, paid annual/sick leave, bonuses, non-monetary benefits. Undiscounted, recognised as expense/liability as service is rendered.
- Post-employment benefits: pensions and other post-employment benefits - split into DEFINED CONTRIBUTION and DEFINED BENEFIT plans (see below).
- Other long-term benefits: long-service leave, sabbaticals, long-term disability. Similar measurement to defined benefit, BUT remeasurements go to PROFIT OR LOSS (not OCI).
- Termination benefits: recognised at the EARLIER of when the entity can no longer withdraw the offer, and when it recognises related restructuring costs (HKAS 37).
Defined Contribution vs Defined Benefit
- Defined Contribution (DC): entity pays fixed contributions; NO legal/constructive obligation to pay further if the fund is insufficient. Actuarial and investment RISK falls on the EMPLOYEE. Simple: recognise contributions payable as an expense.
- Defined Benefit (DB): the entity's obligation is to provide the agreed benefits; actuarial and investment RISK falls on the EMPLOYER. Complex measurement using the Projected Unit Credit Method.
Defined Benefit Accounting
Net defined benefit liability (asset) = present value of the defined benefit obligation − fair value of plan assets (an asset is subject to the ASSET CEILING). Amounts recognised:
- Profit or loss: current service cost, past service cost (recognised IMMEDIATELY on plan amendment/curtailment), gains/losses on settlement, and NET INTEREST on the net defined benefit liability/asset (using the SAME discount rate - high quality corporate bond yield - applied to the net balance).
- Other comprehensive income: REMEASUREMENTS - actuarial gains/losses, return on plan assets excluding amounts in net interest, and changes in the asset ceiling effect. NEVER RECYCLED to profit or loss.
Common Pitfalls / Exam Tips
- The single most-tested split: service cost + net interest → P&L; remeasurements → OCI, never recycled. Getting an actuarial gain into P&L is a classic error.
- Past service cost is recognised IMMEDIATELY in full - the old 'corridor' and deferred recognition approaches were eliminated.
- Net interest uses ONE discount rate on the NET liability/asset - not separate expected returns on assets and interest on obligation (a pre-2011 approach).
- Short-term paid absences: ACCUMULATING (carried forward) leave is accrued as employees render service; NON-ACCUMULATING leave is recognised only when the absence occurs.
HKAS 20 · Accounting for Government Grants and Disclosure of Government Assistance
Objective
Prescribes the accounting for, and disclosure of, government grants and other forms of government assistance.
Recognition - The Matching Principle
Government grants are recognised ONLY when there is REASONABLE ASSURANCE that (a) the entity will COMPLY with the attached conditions, AND (b) the grants WILL BE RECEIVED. Recognised in profit or loss on a SYSTEMATIC BASIS over the periods in which the entity recognises as expenses the related costs that the grants are intended to compensate. Receipt of a grant is NOT of itself conclusive evidence that conditions have been or will be fulfilled.
Presentation Choices
- Grants related to ASSETS (two permitted options): (1) present as DEFERRED INCOME, released to P&L systematically over the asset's useful life; OR (2) DEDUCT the grant from the carrying amount of the asset (the grant is then recognised through a reduced depreciation charge).
- Grants related to INCOME (two permitted options): (1) present as a separate credit / under a general heading such as 'other income'; OR (2) DEDUCT the grant from the related expense.
- Non-monetary grants (e.g. land granted): usually accounted for at FAIR VALUE, though recording both asset and grant at a NOMINAL amount is also permitted.
Repayment & Government Assistance
A grant that becomes REPAYABLE is accounted for as a change in accounting ESTIMATE (HKAS 8) - PROSPECTIVELY. For asset-related grants, repayment increases the asset's carrying amount (or reduces deferred income), with cumulative extra depreciation recognised immediately in P&L. Government ASSISTANCE that cannot be reasonably valued (e.g. free technical advice, guarantees) and transactions that cannot be distinguished from normal trading are DISCLOSED but not recognised.
Common Pitfalls / Exam Tips
- The core principle is MATCHING - a grant is NOT recognised in P&L when cash is received, but as the related costs are expensed. Immediate recognition on receipt is a classic error.
- Both presentation options are genuinely permitted (accounting policy choice) - exam answers should state which is used and apply consistently.
- Repayment is PROSPECTIVE (change in estimate), NOT a retrospective prior-period correction.
- A grant for costs ALREADY INCURRED, or given as immediate financial support with no future related costs, IS recognised in P&L in the period it becomes receivable.
HKAS 21 · The Effects of Changes in Foreign Exchange Rates
Objective
Prescribes how to include foreign currency transactions and foreign operations in the FS of an entity, and how to translate FS into a presentation currency.
Key Concepts
- Functional currency = currency of the primary economic environment in which the entity operates (determined by facts, not a free choice).
- Foreign currency transactions: initially recorded at spot rate on transaction date. At each reporting date: monetary items retranslated at closing rate; non-monetary items at historical cost NOT retranslated; non-monetary items at fair value translated at the rate on the date fair value was determined.
- Exchange differences on monetary items generally recognised in P&L (exception: monetary items that form part of a net investment in a foreign operation - taken to OCI until disposal).
- Translating a foreign operation into presentation currency: assets/liabilities at closing rate; income/expenses at rate at transaction date (or average rate as approximation); resulting exchange differences to OCI (cumulative translation reserve), reclassified to P&L on disposal.
Common Pitfalls / Exam Tips
- Confusing functional currency (an objective determination) with presentation currency (a choice).
- Retranslating non-monetary items carried at historical cost - a very common exam error.
- Forgetting goodwill arising on acquisition of a foreign operation is treated as an asset of the FOREIGN entity and retranslated at closing rate.
HKAS 23 · Borrowing Costs
Objective
Prescribes the accounting treatment for borrowing costs. The core principle: borrowing costs DIRECTLY ATTRIBUTABLE to the acquisition, construction or production of a QUALIFYING ASSET form part of the COST of that asset. All other borrowing costs are recognised as an EXPENSE.
Key Definitions
- Borrowing costs: interest and other costs an entity incurs in connection with the borrowing of funds - including interest expense calculated using the effective interest method (HKFRS 9), finance charges on leases (HKFRS 16), and exchange differences on foreign currency borrowings to the extent regarded as an adjustment to interest costs.
- Qualifying asset: an asset that NECESSARILY TAKES A SUBSTANTIAL PERIOD OF TIME to get ready for its intended use or sale (e.g. buildings under construction, power plants, complex inventories, some intangibles). NOT qualifying: assets ready for use when acquired, inventories routinely produced over a short period, and assets measured at FAIR VALUE (e.g. biological assets).
Amount to Capitalise
- Specific borrowings (funds borrowed specifically for the qualifying asset): ACTUAL borrowing costs incurred during the period, LESS any INVESTMENT INCOME earned on the temporary investment of those borrowings.
- General borrowings: apply a CAPITALISATION RATE (weighted average of borrowing costs applicable to the entity's general borrowings outstanding during the period) to the expenditures on the asset. The amount capitalised must NOT EXCEED total borrowing costs incurred in the period. No deduction of investment income for general borrowings.
Commencement, Suspension, Cessation
COMMENCE capitalisation when ALL of: expenditures on the asset are being incurred; borrowing costs are being incurred; and activities necessary to prepare the asset are in progress. SUSPEND during EXTENDED periods in which ACTIVE DEVELOPMENT is interrupted (but NOT for temporary delays that are a necessary part of the process, e.g. waiting for concrete to cure, or high water levels expected in that region). CEASE when substantially all activities necessary to prepare the asset for intended use/sale are complete.
Common Pitfalls / Exam Tips
- Investment income is deducted ONLY for SPECIFIC borrowings, not general borrowings - a very frequently tested calculation trap.
- Capitalisation is MANDATORY for qualifying assets (the option to expense was removed in the 2007 revision) - except where the asset is measured at fair value, or is inventory produced in large quantities on a repetitive basis.
- Suspension applies only to EXTENDED interruptions in active development - normal, expected technical delays do NOT trigger suspension.
- Cessation applies when the asset is substantially ready - even if routine administrative work or minor modifications remain outstanding.
HKAS 24 · Related Party Disclosures
Objective
Ensures an entity's FS contain disclosures necessary to draw attention to the possibility that its financial position/profit or loss may have been affected by the existence of related parties and transactions/outstanding balances with them.
Key Definitions
A related party includes: parent/subsidiary/fellow subsidiaries; associates/joint ventures; key management personnel (KMP) of the entity or its parent; close family members of an individual related party; entities controlled/jointly controlled/significantly influenced by a related individual; post-employment benefit plans.
Key Requirements
- Disclosure required REGARDLESS of whether a price was charged (i.e. even if transactions are at arm's length, disclosure is still required if a related party relationship exists and there were transactions).
- KMP compensation disclosed in total and by category (short-term benefits, post-employment, other long-term, termination, share-based payment).
- Government-related entities: exemption from detailed disclosure of transactions with other entities controlled by the same government, subject to reduced disclosures.
Common Pitfalls / Exam Tips
- Common exam trap: two entities are NOT related parties simply because they share a common director UNLESS that director has significant influence/control, or two entities are not related merely by sharing a major customer/supplier.
- Disclosure is required even for TERMS at arm's length - a frequent misconception that 'fair value transactions need no disclosure'.
HKAS 26 · Accounting and Reporting by Retirement Benefit Plans
Objective
Specifies the measurement and disclosure principles for the financial reports of RETIREMENT BENEFIT PLANS THEMSELVES (i.e. the plan as a reporting entity), where such reports are prepared. This is the mirror image of HKAS 19, which deals with the EMPLOYER's accounting for retirement benefit costs.
Scope & Distinction from HKAS 19
- HKAS 26: accounting by the PLAN (the fund) as a reporting entity in its own right.
- HKAS 19: accounting by the EMPLOYER for the cost of providing the benefits.
- Applies to both defined contribution and defined benefit plans. Treats the plan as a separate reporting entity distinct from the employers and participants.
Reporting Requirements
- Defined Contribution Plans: report should contain a statement of NET ASSETS AVAILABLE FOR BENEFITS and a description of the funding policy. The objective is to provide information about the plan and the performance of its investments.
- Defined Benefit Plans: report should contain EITHER (a) a statement showing net assets available for benefits, the actuarial present value of PROMISED retirement benefits (split between vested and non-vested), and the resulting excess/deficit; OR (b) a statement of net assets available for benefits, with the actuarial present value of promised benefits either in a note or in an accompanying actuarial report.
- Plan investments: carried at FAIR VALUE. For marketable securities this is market value. Where fair value cannot be estimated, the reason must be disclosed.
Common Pitfalls / Exam Tips
- The most important exam point is simply knowing the BOUNDARY: HKAS 26 = the plan's own financial report; HKAS 19 = the employer's expense/liability. Candidates commonly apply HKAS 19 logic to a question about the fund's own statements.
- Plan investments are at FAIR VALUE - not amortised cost - regardless of the classification that HKFRS 9 might otherwise suggest for a corporate holder.
- The actuarial present value of promised benefits may be based on either current salary levels or projected salary levels - the basis used must be DISCLOSED.
- In practice HKAS 26 is used relatively rarely (only when plans publish their own financial reports), which is exactly why its scope boundary is a favourite exam discriminator.
HKAS 27 · Separate Financial Statements
Objective
Prescribes the accounting and disclosure requirements for investments in SUBSIDIARIES, JOINT VENTURES and ASSOCIATES when an entity prepares SEPARATE financial statements. (Consolidation requirements are in HKFRS 10; equity accounting in HKAS 28.)
What are 'Separate Financial Statements'?
Those presented by an entity IN ADDITION TO consolidated FS (or in addition to FS in which investments in associates/JVs are equity accounted), in which investments in subsidiaries/JVs/associates are accounted for at COST, in accordance with HKFRS 9, or using the EQUITY METHOD. Important: FS of an entity that has NO subsidiaries, associates or joint ventures are NOT 'separate financial statements' - they are simply its financial statements.
Accounting Policy Choice
In its separate FS, an entity shall account for investments in subsidiaries, JVs and associates EITHER:
- At COST; OR
- In accordance with HKFRS 9 (i.e. fair value); OR
- Using the EQUITY METHOD as described in HKAS 28 (this third option was added by a 2014 amendment).
Exemption from Consolidation
A parent need NOT present consolidated FS if ALL of: it is a wholly-owned (or partially-owned with no objection from other owners) subsidiary; its debt/equity instruments are not publicly traded; it is not filing FS for the purpose of issuing instruments publicly; AND its ultimate/intermediate parent produces publicly available HKFRS-compliant consolidated FS. Such a parent then presents SEPARATE financial statements only. (Investment entities under HKFRS 10 have their own specific regime.)
Common Pitfalls / Exam Tips
- A very common confusion: 'separate' FS are NOT the same as 'individual' FS of an entity with no investments, and NOT the same as consolidated FS. HKAS 27 applies only to the former.
- The three-way policy choice (cost / HKFRS 9 / equity method) must be applied consistently by CATEGORY - not cherry-picked investment by investment.
- In separate FS, dividends from a subsidiary go to P&L - they are NOT eliminated (elimination happens only on consolidation). This often trips candidates converting between separate and consolidated figures.
- Do not confuse the consolidation exemption conditions here with the HKFRS 19 reduced-disclosure eligibility tests - they are similar in flavour but serve different purposes.
HKAS 28 · Investments in Associates and Joint Ventures
Objective
Prescribes the accounting for investments in ASSOCIATES and sets out the requirements for applying the EQUITY METHOD when accounting for investments in associates and joint ventures.
Significant Influence
An associate is an entity over which the investor has SIGNIFICANT INFLUENCE - the power to participate in the financial and operating policy decisions, but NOT control or joint control. Presumed if the investor holds 20% or more of the voting power (rebuttable); presumed NOT to exist below 20% (also rebuttable). Evidence of significant influence includes: board representation; participation in policy-making; material transactions between the parties; interchange of managerial personnel; provision of essential technical information.
The Equity Method
- Investment initially recognised at COST; thereafter the carrying amount is INCREASED/DECREASED by the investor's SHARE of the investee's POST-ACQUISITION profit or loss (recognised in P&L), and by its share of the investee's OCI (recognised in OCI).
- Dividends received REDUCE the carrying amount of the investment - they are NOT income under the equity method.
- Uniform accounting policies must be applied; FS dates should be aligned (difference no more than 3 months, adjusted for significant transactions).
- Fair value adjustments on acquisition (e.g. to depreciable assets) require additional depreciation against the investor's share of profit; goodwill is included in the carrying amount and NOT separately tested for impairment.
- Losses: recognised until the investment is reduced to NIL; further losses recognised only to the extent of legal/constructive obligations or payments made on behalf of the investee.
Exemptions & Impairment
Equity method NOT applied if: the investment is classified as held for sale (HKFRS 5); or the entity is exempt from preparing consolidated FS; or held by a venture capital organisation/mutual fund/unit trust that elects to measure at FVTPL under HKFRS 9. Impairment: the ENTIRE carrying amount (including goodwill) is tested as a SINGLE asset under HKAS 36 when indicators exist.
Common Pitfalls / Exam Tips
- Dividends reduce the investment carrying amount - recognising them as income is the single most common equity-method error.
- Unrealised profits on transactions between investor and associate are eliminated to the extent of the investor's INTEREST (not 100%, unlike subsidiary consolidation).
- Goodwill within an equity-accounted investment is NOT separately impairment-tested - the whole investment is one unit of account.
- The 20% threshold is a rebuttable presumption, not a rule - board representation with a 15% holding can still give significant influence.
HKAS 29 · Financial Reporting in Hyperinflationary Economies
Objective
Requires the financial statements of an entity whose FUNCTIONAL CURRENCY is the currency of a HYPERINFLATIONARY economy to be RESTATED in terms of the MEASURING UNIT CURRENT AT THE END OF THE REPORTING PERIOD - because reporting operating results and financial position in local currency without restatement is not useful (money loses purchasing power so rapidly that comparison of amounts from different times is misleading).
Indicators of Hyperinflation
No absolute rule, but characteristics include: the general population prefers to keep wealth in non-monetary assets or a stable foreign currency; prices are quoted in a stable foreign currency; sales/purchases on credit are at prices compensating for expected loss of purchasing power; interest rates, wages and prices are linked to a price index; and the CUMULATIVE INFLATION RATE OVER THREE YEARS APPROACHES OR EXCEEDS 100% (the most commonly cited quantitative marker).
Restatement Mechanics
- MONETARY items (cash, receivables, payables - amounts fixed in money terms) are NOT restated; they are already expressed in the current measuring unit.
- NON-MONETARY items at historical cost (PPE, inventories, equity) ARE restated by applying a GENERAL PRICE INDEX from the date of acquisition/contribution to the reporting date. Non-monetary items already at fair value/NRV at the reporting date are not restated further.
- All items in the statement of profit or loss are restated by applying the price index from the dates the items were originally recorded.
- The GAIN OR LOSS ON THE NET MONETARY POSITION (arising from holding monetary assets/liabilities during inflation) is recognised in PROFIT OR LOSS and separately disclosed. Holding net monetary ASSETS produces a LOSS; holding net monetary LIABILITIES produces a GAIN.
- Comparative figures are also restated into the current measuring unit.
Common Pitfalls / Exam Tips
- The core distinction is monetary vs non-monetary - monetary items are NOT restated. Restating receivables is a classic error.
- Net monetary LIABILITY position gives a GAIN in hyperinflation (the real value of what you owe falls) - counter-intuitive and frequently tested.
- When an economy CEASES to be hyperinflationary, the entity stops restating and treats the amounts expressed in the measuring unit current at the end of the previous reporting period as the basis for carrying amounts going forward.
- HKAS 29 is applied BEFORE translating into a different presentation currency under HKAS 21 - the order matters.
HKAS 32 · Financial Instruments: Presentation
Objective
Establishes principles for PRESENTING financial instruments as liabilities or equity, and for offsetting financial assets and financial liabilities. Companion to HKFRS 9 (recognition/measurement) and HKFRS 7 (disclosures).
Liability vs Equity - The Critical Test
Classification follows the SUBSTANCE of the contractual arrangement, not its legal form. A FINANCIAL LIABILITY exists where there is a CONTRACTUAL OBLIGATION to: deliver cash or another financial asset to another entity; OR exchange financial assets/liabilities under potentially unfavourable conditions. An instrument is EQUITY only if there is NO such contractual obligation - i.e. the issuer has an UNCONDITIONAL RIGHT TO AVOID delivering cash or another financial asset.
Classic Applications
- Redeemable preference shares with MANDATORY redemption or redeemable at the HOLDER's option = LIABILITY (despite being legally 'shares'); dividends on them are then presented as INTEREST EXPENSE in P&L.
- Preference shares redeemable only at the ISSUER's option, with discretionary dividends = EQUITY.
- Compound instruments (e.g. convertible bonds): must be SPLIT at issue into a liability component and an equity component. Method: measure the LIABILITY component first (present value of cash flows discounted at the market rate for a similar instrument WITHOUT the conversion option); the RESIDUAL is the equity component. The split is NOT revised subsequently.
- Treasury shares: deducted from equity; NO gain or loss recognised in P&L on purchase, sale, issue or cancellation.
- Costs of issuing equity instruments are deducted from equity (net of tax).
Offsetting
A financial asset and financial liability are offset and the NET amount presented ONLY when the entity: (a) currently has a LEGALLY ENFORCEABLE RIGHT to set off the recognised amounts; AND (b) intends either to SETTLE NET, or to realise the asset and settle the liability SIMULTANEOUSLY. Both conditions are required - a right of set-off alone is not enough.
Common Pitfalls / Exam Tips
- The most-tested trap: legal form vs substance. 'Preference shares' can be liabilities; 'debt' with full discretion over payments can be equity.
- For convertible bonds, the EQUITY component is the RESIDUAL (total proceeds less the fair value of the liability component) - never valued directly.
- Dividends on liability-classified preference shares hit PROFIT OR LOSS as finance cost, affecting EPS - a favourite linkage with HKAS 33.
- Offsetting requires BOTH the legal right AND the intention to settle net/simultaneously - master netting agreements alone usually fail the test.
HKAS 33 · Earnings per Share
Objective
Prescribes principles for the determination and presentation of EPS, improving performance comparisons between different entities in the same period and between different periods for the same entity. Focuses on the DENOMINATOR (consistent determination of the share count).
Scope
Applies to entities whose ORDINARY SHARES or POTENTIAL ordinary shares are PUBLICLY TRADED, or that are in the process of issuing such instruments in public markets. Where both consolidated and separate FS are presented, EPS disclosure is required only for the CONSOLIDATED information.
Basic EPS
Basic EPS = Profit or loss attributable to ORDINARY EQUITY HOLDERS of the parent ÷ WEIGHTED AVERAGE NUMBER of ordinary shares outstanding during the period.
- Numerator: profit after tax and after deducting PREFERENCE DIVIDENDS (for equity-classified preference shares - note liability-classified preference dividends are already in finance costs) and NCI.
- Denominator: shares weighted by time outstanding. Bonus issues and share splits are treated as if they occurred at the BEGINNING of the EARLIEST period presented - no time-weighting - and comparatives are RESTATED (no consideration received, so no change in resources).
- Rights issue (at below market price): contains a bonus element. Apply a BONUS FRACTION = (Fair value per share BEFORE exercise ÷ Theoretical Ex-Rights Price, TERP) to shares before the rights issue, and restate comparatives.
Diluted EPS
Adjusts basic EPS for the effects of all DILUTIVE POTENTIAL ORDINARY SHARES (convertible bonds/preference shares, options, warrants, contingently issuable shares):
- Convertibles: add back post-tax interest (or preference dividends) saved to the numerator; add the shares issuable on conversion to the denominator (from the later of the start of period / issue date).
- Options/warrants: assume exercise; the number of shares issued FOR NO CONSIDERATION (i.e. total shares under option less shares that could be bought at average market price with the proceeds) is added to the denominator. Numerator unchanged.
- Potential ordinary shares are DILUTIVE only if they DECREASE EPS from continuing operations - ANTI-DILUTIVE instruments are IGNORED. Test each series separately, in order of most dilutive first.
Common Pitfalls / Exam Tips
- Bonus issue = no time-weighting + restate comparatives; full-price issue = time-weight from issue date. Mixing these up is the classic error.
- Anti-dilutive potential shares must be EXCLUDED - candidates frequently include all convertibles mechanically.
- Options only dilute when the exercise price is BELOW average market price (in the money); the 'free shares' method is the required approach.
- Preference dividends are deducted only for EQUITY-classified preference shares; for liability-classified ones the cost is already in finance costs (a key HKAS 32 linkage).
HKAS 34 · Interim Financial Reporting
Objective
Prescribes the MINIMUM CONTENT of an interim financial report and the recognition/measurement principles for interim periods. HKAS 34 does NOT mandate WHICH entities must publish interim reports or how frequently - that is set by regulators/listing rules (e.g. HKEX requires half-yearly reporting).
Minimum Content
A CONDENSED set comprising: condensed statement of financial position; condensed statement(s) of profit or loss and OCI; condensed statement of changes in equity; condensed statement of cash flows; and SELECTED EXPLANATORY NOTES. Comparative periods required:
- SOFP: as at the end of the current interim period AND as at the end of the immediately preceding FINANCIAL YEAR.
- P&L: current interim period AND cumulative year-to-date, with comparatives for the comparable periods of the preceding financial year.
- Cash flows & changes in equity: cumulative year-to-date, with comparable prior-year period.
Recognition & Measurement - The Two Views
HKAS 34 adopts the DISCRETE PERIOD approach (with some integral features): the interim period is treated as a discrete reporting period, using the SAME accounting policies as in the annual FS. Key consequences:
- Revenues received seasonally/cyclically are NOT anticipated or deferred at an interim date if anticipating/deferring would not be appropriate at year end.
- Costs incurred unevenly are anticipated or deferred ONLY if it would also be appropriate to do so at year end.
- Income tax expense is recognised using the ESTIMATED WEIGHTED AVERAGE ANNUAL EFFECTIVE TAX RATE expected for the full year - a genuinely 'integral' feature.
- Measurements may rely more on estimates than annual figures, but materiality is assessed in relation to the INTERIM period data.
Common Pitfalls / Exam Tips
- The classic trap: a major planned advertising campaign or a staff bonus expected later in the year cannot be accrued/spread at the interim date unless an obligation exists at that date - no 'smoothing' of the year's expected costs.
- Income tax IS spread using the estimated annual effective rate - the one significant exception to the discrete approach.
- An impairment recognised at an interim date is NOT reversed at year end merely because conditions improved, where the standard (e.g. goodwill under HKAS 36) prohibits reversal (see IFRIC 10).
- The SOFP comparative is the previous YEAR END, not the previous interim date - a very commonly misstated presentation point.
HKAS 36 · Impairment of Assets
Objective
Ensures assets are carried at no more than their recoverable amount, and prescribes when an impairment loss should be recognised and reversed.
Scope
Most non-financial assets (PPE, intangibles, goodwill, investment property at cost, investments in subsidiaries/associates/JVs). Excludes inventories, deferred tax assets, financial assets (HKFRS 9), assets arising from construction contracts, investment property at fair value (HKAS 40).
Key Concepts
- Recoverable amount = higher of Fair Value less Costs of Disposal (FVLCD) and Value in Use (VIU, the present value of future cash flows expected from the asset).
- Impairment indicators assessed at EACH reporting date (external: market value decline, adverse changes in technology/market/economic/legal environment, increase in interest rates; internal: obsolescence, damage, restructuring, worse-than-expected performance).
- Goodwill and indefinite-life intangibles: tested for impairment ANNUALLY regardless of indicators.
- If recoverable amount cannot be estimated for an individual asset, test at the Cash-Generating Unit (CGU) level.
- Impairment loss = carrying amount - recoverable amount; allocated first to goodwill, then pro-rata to other assets in the CGU (not below the higher of FVLCD/VIU/zero for individual assets).
Reversal
Impairment losses (other than on GOODWILL - goodwill impairment can NEVER be reversed) may be reversed if there has been a change in estimates used to determine recoverable amount, limited to the carrying amount that would have existed (net of depreciation) had no impairment been recognised.
Common Pitfalls / Exam Tips
- Goodwill impairment reversal is explicitly PROHIBITED - a very frequently tested rule.
- Allocating a CGU-level impairment loss: goodwill first, then pro-rata over remaining assets, but never reducing an individual asset below its own recoverable amount if determinable.
- Confusing VIU (entity-specific cash flow estimates) with fair value (market-based).
- 將VIU(實體特定的現金流量估計)與公允價值(以市場為基礎)混淆。
HKAS 37 · Provisions, Contingent Liabilities and Contingent Assets
Objective
Ensures appropriate recognition criteria and measurement bases are applied to provisions, contingent liabilities and contingent assets, and sufficient disclosure to enable users to understand their nature, timing and amount.
Key Definitions & Recognition
- A provision is a liability of uncertain timing or amount. Recognised when: (a) a present obligation (legal or constructive) exists as a result of a past event; (b) probable outflow of resources embodying economic benefits; (c) a reliable estimate can be made. All three tests must be met.
- Contingent liability: a possible obligation depending on uncertain future events, OR a present obligation not recognised because outflow is not probable or amount cannot be reliably measured - NOT recognised, only disclosed (unless remote).
- Contingent asset: a possible asset from past events, existence confirmed by uncertain future events - NOT recognised; disclosed only if inflow is PROBABLE.
Measurement
Best estimate of expenditure required to settle the obligation at the reporting date. Discounted to present value if the effect of time value of money is material (unwinding of discount recognised as a finance cost). Restructuring provisions require a detailed formal plan AND valid expectation created in those affected (announcement/implementation) - future operating losses are NOT provided for.
Common Pitfalls / Exam Tips
- Onerous contract provisions: measured at the lower of the cost of fulfilling the contract and any compensation/penalty from failing to fulfil it.
- A constructive obligation (e.g. a published policy the entity has no realistic alternative but to honour) can trigger a provision even without a LEGAL obligation.
- Future operating losses are never provided for - only present obligations from past events.
- The probability spectrum: Virtually certain (recognise as asset/receivable) > Probable >50% (provide) > Possible (disclose contingent liability) > Remote (no disclosure needed).
HKAS 38 · Intangible Assets
Objective
Prescribes the accounting treatment for intangible assets not specifically dealt with in another standard - recognition criteria, measurement of carrying amount, and required disclosures.
Recognition Criteria
An intangible asset (identifiable, non-monetary asset without physical substance) is recognised only if: (a) probable future economic benefits will flow; (b) cost can be measured reliably; AND it meets the definition (identifiability, control, future economic benefits).
Research vs Development
- Research phase costs: ALWAYS expensed (no asset can be identified that will generate probable future economic benefits).
- Development phase costs: capitalised ONLY if ALL 6 criteria (PIRATE mnemonic) are met: Probable future economic benefit; Intention to complete and use/sell; Resources (technical, financial, other) adequate to complete; Ability to use or sell; Technical feasibility of completing; Expenditure can be measured reliably.
Key Rules
- Internally generated goodwill, brands, mastheads, customer lists: NEVER recognised as assets (not reliably measurable/not separately identifiable from the business as a whole).
- Subsequent measurement: Cost model, or Revaluation model (only if an active market exists - rare for intangibles).
- Useful life: finite (amortised over useful life) or indefinite (NOT amortised, tested for impairment annually per HKAS 36).
Common Pitfalls / Exam Tips
- Classic exam scenario: allocating a lump-sum R&D spend between research (expense) and development (capitalise from the point ALL 6 criteria are first met - NOT retrospectively).
- Internally generated brands/goodwill can NEVER be capitalised - but a PURCHASED brand/customer list CAN be recognised (reliably measured via the purchase price).
- Website development costs follow a similar research/development-style split (per SIC-32 guidance now incorporated).
HKAS 39 · Financial Instruments: Recognition and Measurement
Current Status
Largely SUPERSEDED by HKFRS 9, which replaced its classification, measurement, impairment and hedge accounting requirements. HKAS 39 remains in the Handbook because entities may ELECT to continue applying its HEDGE ACCOUNTING requirements in their entirety (instead of HKFRS 9's hedge accounting model) - pending the IASB's separate macro hedge accounting (dynamic risk management) project. Understanding it also remains important for comparison and for legacy examination syllabuses.
What HKFRS 9 Replaced
- Classification: HKAS 39's four categories (held-to-maturity; loans and receivables; available-for-sale, AFS; fair value through profit or loss) were replaced by HKFRS 9's business-model + SPPI approach (amortised cost / FVOCI / FVTPL). The AFS category and the 'tainting rules' for held-to-maturity no longer exist.
- Impairment: HKAS 39's INCURRED LOSS model (a loss event must have occurred before a loss is recognised) was heavily criticised after the global financial crisis for recognising losses 'too little, too late'. HKFRS 9 replaced it with the forward-looking EXPECTED CREDIT LOSS model.
Why the HKAS 39 Hedge Accounting Option Exists
HKFRS 9's hedge accounting model aligns accounting more closely with risk management and removes the rigid 80-125% bright-line effectiveness test (replacing it with a principles-based economic relationship test). However, HKFRS 9 does not address MACRO (portfolio) hedging of open portfolios - critical for banks hedging interest rate risk dynamically. The accounting policy choice to retain HKAS 39 hedge accounting exists to avoid forcing those entities to change twice.
Common Pitfalls / Exam Tips
- Be precise about status: HKAS 39 is not 'withdrawn' - it survives ONLY as an elective hedge accounting alternative (all or nothing for hedge accounting; classification/measurement/impairment must follow HKFRS 9).
- The 80-125% quantitative effectiveness test belongs to HKAS 39, NOT HKFRS 9 - a very frequently confused point.
- 'Available-for-sale' is a HKAS 39 term with no HKFRS 9 equivalent; using it for current-period financial statements signals an outdated answer.
- Incurred loss vs expected credit loss is the single most important conceptual contrast to be able to explain.
HKAS 40 · Investment Property
Objective
Prescribes the accounting treatment for investment property (land/building held to earn rentals or for capital appreciation, or both, rather than for use in production/supply or admin purposes, or sale in the ordinary course of business) and related disclosures.
Recognition & Measurement Choice
Recognised when probable future economic benefits will flow and cost is reliably measurable. AFTER initial recognition (at cost), entity chooses an ACCOUNTING POLICY (applied to ALL investment property, with narrow exceptions): Fair Value Model (gains/losses on remeasurement to P&L each period, NO depreciation) or Cost Model (as HKAS 16, with fair value disclosed in notes).
Key Distinctions
- Owner-occupied property -> HKAS 16. Property held for sale in the ordinary course of business -> HKAS 2. Property leased to another group entity is investment property from the LESSOR's perspective in the individual FS but owner-occupied on CONSOLIDATION.
- Mixed-use property: split into investment property and owner-occupied portions if the portions could be sold/leased separately; if not separable and the owner-occupied portion is insignificant, treat as investment property.
- Ancillary services (e.g. security, maintenance for tenants) - property remains investment property if the services are insignificant to the arrangement as a whole.
Common Pitfalls / Exam Tips
- Once the Fair Value Model is chosen, it is very difficult to change (must result in more relevant/reliable presentation) - and NO depreciation is charged under this model.
- Fair value gains/losses go to P&L (NOT OCI) under HKAS 40 - unlike HKAS 16 revaluation surplus which goes to OCI. A very commonly tested distinction.
- Property under construction for future use as investment property is also within scope of HKAS 40 (fair value model applies once fair value becomes reliably measurable, if that model is chosen).
HKAS 41 · Agriculture
農業
Objective
Prescribes the accounting treatment and disclosures for AGRICULTURAL ACTIVITY - the management by an entity of the BIOLOGICAL TRANSFORMATION (growth, degeneration, production, procreation) and HARVEST of biological assets for sale or for conversion into agricultural produce or additional biological assets.
Key Definitions
- Biological asset: a living animal or plant (e.g. dairy cattle, sheep, growing crops, fish in farms).
- Agricultural produce: the HARVESTED product of the entity's biological assets (e.g. milk, wool, picked fruit, harvested cane).
- Bearer plant: a living plant used in the production/supply of agricultural produce, expected to bear produce for more than one period, with a remote likelihood of being sold as agricultural produce (e.g. grape vines, apple trees, oil palms). Bearer plants are OUTSIDE HKAS 41 - they are accounted for under HKAS 16 as PPE (2014 amendment). However, the PRODUCE GROWING ON bearer plants REMAINS within HKAS 41.
- Bearer ANIMALS (e.g. dairy cattle held to produce milk) remain within HKAS 41.
- 農產品:實體生物資產的已收成produce(例如牛奶、羊毛、已採摘水果、已收割蔗莖)。
Measurement
- Biological assets: measured on initial recognition and at each reporting date at FAIR VALUE LESS COSTS TO SELL. Gains/losses on initial recognition and on subsequent changes are recognised in PROFIT OR LOSS in the period they arise.
- Agricultural produce harvested: measured at fair value less costs to sell AT THE POINT OF HARVEST - this amount then becomes the COST for HKAS 2 Inventories purposes thereafter.
- Rebuttable presumption: fair value CAN be measured reliably. It can be rebutted ONLY on initial recognition of a biological asset for which quoted market prices are unavailable AND alternative fair value estimates are clearly unreliable - then measure at COST less accumulated depreciation and impairment, until fair value becomes reliably measurable.
- Government grants related to biological assets measured at fair value less costs to sell: recognised in P&L when (and only when) the grant becomes RECEIVABLE (if unconditional), or when conditions are met (if conditional) - note this DIFFERS from HKAS 20's systematic matching approach.
Common Pitfalls / Exam Tips
- The bearer plant split is the most-tested feature: the TREE/VINE is PPE under HKAS 16, but the FRUIT GROWING ON IT is a biological asset at fair value less costs to sell under HKAS 41.
- Fair value changes go to PROFIT OR LOSS (not OCI) - including gains from mere biological growth, before any sale occurs.
- At harvest, HKAS 41 'hands over' to HKAS 2 - fair value less costs to sell at harvest becomes deemed cost of inventory.
- The government grant treatment under HKAS 41 is deliberately DIFFERENT from HKAS 20 - a subtle but frequently examined distinction.
